Overview:
The Director, Legal will be responsible for reviewing, drafting and negotiating a wide range of commercial contracts including, customer, vendor, supplier, confidentiality and non-disclosure, license, engagement, services, consulting and IT/software agreements, policies and procedures, and related documents. This Position will also manage the contracts process, handle pre-litigation dispute resolution and supervise litigation. The Director, Legal will supervise and assist with SEC filings and other activities, such as the Annual Proxy Statement, forms 10-K, 10-Q and 8-K, and assist the Corporate Secretary with corporate governance matters. This Position will report to the General Counsel and will manage a team of four contract administrators.

A strong general corporate background and experience and familiarity with issues attendant to being a general counsel are required, including experience with commercial agreements and transactions (acquisitions, partnerships, divestitures, joint ventures, etc.), corporate governance, compliance, employment, real estate leasing, litigation, regulatory and privacy. The successful candidate will have a demonstrated hands-on operations focus, a reputation for ethics and integrity, as well as superior interpersonal and communication skills.
